Effective Date: April 21, 2025

By signing up for an Affiliate Account or participating in the GRC Lab Affiliate Program, you agree to be bound by this Affiliate Program Agreement (the “Agreement”). This Agreement is made between you, as an Affiliate Partner, and Aron Lange ("GRC Lab"). Each of the Affiliate Partner and GRC Lab is a “Party,” and together the “Parties.” Affiliates represent and warrant that they have the authority to accept this Agreement on their own behalf or on behalf of the entity they represent.

1. Affiliate Responsibilities

Affiliates agree to promote GRC Lab products and services ethically, responsibly, and in compliance with all applicable laws, regulations, and guidelines. Affiliates must not engage in deceptive marketing practices, misrepresent their affiliation with GRC Lab, or harm the reputation of GRC Lab in any way.

2. Commission Structure

Affiliates will earn a 10% commission on all qualifying sales referred through their unique affiliate links or discount codes provided by GRC Lab.

3. Referral Attribution

Referred purchases are attributed based on the buyer’s last-clicked affiliate link or last-used discount code prior to making the purchase.

4. Referral Window

Affiliate referrals remain valid for 365 days after the initial click on the affiliate link.

5. Payments

Commissions will be calculated and paid within 30 days following the end of each month. Payments are processed through Teachable. Affiliates must ensure their payment details are up to date. Affiliates are solely responsible for compliance with tax obligations applicable to commissions earned under this Agreement. GRC Lab will not withhold any taxes; affiliates must independently manage their tax responsibilities.

6. Compliance with Laws

Affiliates agree to comply with all applicable laws and regulations, including but not limited to the Federal Trade Commission (FTC) guidelines regarding advertising and disclosure requirements for affiliate relationships. Affiliates must clearly and conspicuously disclose their affiliate relationship with GRC Lab whenever marketing or promoting products or services.

7. Termination

Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party. Upon termination, Affiliates must immediately cease using all GRC Lab promotional materials and cease representing themselves as affiliates of GRC Lab.

8. Intellectual Property

GRC Lab grants Affiliates a limited, non-exclusive, non-transferable license to use promotional materials, trademarks, and logos provided by GRC Lab solely for purposes of promoting GRC Lab products and services under this Agreement. Affiliates may not alter or misuse these materials in any way.

9. Limitation of Liability

GRC Lab shall not be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement or the Affiliate Program, even if advised of the possibility of such damages. GRC Lab's total liability under this Agreement shall be limited to the amount of commissions payable to the Affiliate under this Agreement.

By joining the GRC Lab Affiliate Program, Affiliates acknowledge that they have read, understood, and agreed to these terms and conditions.
